These Terms of Service ("Terms") govern your use of komrex.co and the design, development, consultation, and related services provided by Komrex Studio LLC ("Komrex", "we", "us").
1. Our services
Komrex provides Shopify store design, development, optimization, migration, consultation, and ongoing care services, offered as fixed-price packages, à-la-carte services, custom-quoted projects, paid consultations, and monthly care plans, as described on our website.
2. Quotes, orders & scope
- Package prices are fixed and cover the deliverables listed for that package. Work outside the stated scope is quoted separately.
- Custom projects are governed by the written quote or proposal we provide, which forms part of these Terms.
- We begin work once payment (or the agreed deposit) is received and you have provided the materials we need.
3. Payment terms
- Fixed-price packages are payable in full at checkout, or via a 50% deposit to begin with the balance due before launch/handover.
- Consultations are paid in full at the time of booking.
- Care plans are billed monthly or annually in advance until cancelled.
- All prices are in USD unless stated otherwise. Your Shopify subscription and any third-party app fees are billed directly by those providers and are not included.
4. Client responsibilities
To deliver on time, we rely on you to provide accurate information, content, product details, branding assets, and timely feedback and approvals. Delays in providing these may extend timelines. You confirm you have the right to use any materials you give us.
5. Revisions & timelines
The number of revision rounds included is stated per package. Timelines shown are good-faith estimates and depend on project complexity and how quickly materials and feedback are provided.
6. Intellectual property & ownership
Upon full payment, you own the final store, design, and content we deliver for your project. You retain ownership of materials you provide to us. We may retain our own underlying tools, code libraries, and know-how, and — unless you ask otherwise — may showcase non-confidential work in our portfolio.
7. Consultations
Paid strategy sessions provide professional advice and recommendations. They do not guarantee specific business outcomes. Booking, rescheduling, and cancellation are subject to our Refund & Cancellation Policy.
8. Care plans
Care plans cover the support requests and tasks described for each tier. Larger projects (redesigns, new builds, migrations) are quoted separately. Plans are month-to-month (or annual) and may be cancelled per the Refund & Cancellation Policy.
9. Acceptable use
You agree not to use our services for unlawful purposes, to infringe others' rights, or to request work that violates Shopify's terms or applicable law.
10. Warranties & disclaimers
We provide our services with reasonable skill and care. Except as expressly stated, services are provided "as is" without further warranties. We do not guarantee specific sales, traffic, rankings, or revenue results.
11. Limitation of liability
To the maximum extent permitted by law, Komrex is not liable for indirect, incidental, or consequential damages. Our total liability for any claim is limited to the amount you paid us for the specific service giving rise to the claim.
12. Termination
Either party may end a project for material breach that is not resolved within a reasonable notice period.Fees for work already performed remain payable. See our Refund Policy for deposit treatment.
13. Governing law
These Terms are governed by the laws of the State of New Mexico, United States, without regard to conflict-of-law rules, and any disputes shall be subject to the jurisdiction of the state and federal courts located in Albuquerque, New Mexico.
14. Changes to these Terms
We may update these Terms from time to time. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
